The directors are appointed by the shareholders of a Company by passing a resolution in the general meeting, the person appointed must be eligible as per the Articles of Association. A person who has been appointed as a director must notify the company about his consent to act as director and to the Registrar within thirty days of appointment, if a director fails to notify the Registrar of his appointment within the specified dates as mentioned above, he is punishable with imprisonment for a period of six months or may have to a pay fine which may extend to fifty thousand rupees and if the non-compliance continues he might have pay an additional fine of rupees five hundred per day.
